These general terms and conditions have been drawn up to ensure that both Solvolutions and the client understand the agreements based on which we work together and that there are transparent and fair rules to minimize the risks for both parties. If any conditions are unclear or not applicable to your organization or project, please get in touch with us to discuss this. These conditions are not definitive.

Scope

These are the general terms and conditions of Solvolutions, part of MoMA Consulting BV, founded and represented by Manu Mathys. Solvolutions has its registered office at Diksmuidelaan 40 – bus 20, 1000 Brussels and is registered in the KBO under number 0790.276.519. These general terms and conditions apply to all quotations, agreements, and services delivered by Solvolutions/moma consulting bv.

General Provisions

These terms and conditions apply to all quotations, offers, work, orders, agreements and deliveries of services or products by Moma Consulting BV. The parties involved expressly exclude the applicability of other general terms and conditions of the customer or third parties. It is guaranteed that the service or product delivered meets the specifications stated in the agreement.

Quotations

Quotations are without obligation unless expressly stated otherwise.

A quotation is valid for 14 days (including weekends and public holidays), unless another term has been determined. If you do not accept the quotation in writing within the aforementioned term, the quotation will expire.

Solvolutions/moma consulting bv is only bound by price quotations, orders or other documents signed by it. Quotations do not apply to repeat orders or additions unless the parties agree in writing. There is an agreement, and these conditions come into effect on the day the customer approves a quote and confirms that he/she/they agree to work with Solvolutions.

Upon acceptance of a quote, MoMA Consulting BV reserves the right to withdraw the quote within three days after receipt of the acceptance without you being able to derive any rights from this. Verbal acceptance only binds MoMA Consulting BV after you have confirmed in writing.

Prices

All prices are stated in euros and are exclusive of 21% VAT.

Prices stated on the website can be changed permanently. The new prices apply to all agreements concluded from that date.

MoMa Consulting BV will calculate the price for additional hours according to the communicated hourly rates.

Suppose the parties have agreed on a total amount for a service. In that case, this is always a guideline price unless all parties have expressly stipulated that it is a fixed price from which no deviation is possible.

Payments online products

Payments are made by bank transfer when purchasing products via the Solvolutions website, such as coaching sessions or other offered packages.

By placing an order via the Solvolutions website, the customer declares to have read the general terms and conditions. You will receive the invoice shortly after the purchase.

No order will be validated without prior receipt of the corresponding payment.

Disputes regarding the invoice amount must be notified to Solvolutions/moma consulting bv in writing within 7 days after the invoice date.

Price (changes) and payment

For services such as individual guidance or consultancy, Solvolutions/Moma Consulting BV will sometimes request an advance payment upon acceptance of the quotation. An invoice will be provided for this. After the service has been delivered, the client will receive an invoice for the balance of the service provided.

All invoices and advance payments are payable within 14 days after the invoice date, unless the quotation specifies a different due date. The invoice will only be considered paid when the amount has been received. If an advance payment is requested, Solvolutions will schedule the activities after receipt of the advance payment.

In the absence of full payment by the customer within 14 calendar days (+ three working days if not by electronic means) after sending the first payment reminder, compensation is due by operation of law and without notice of default of:

€30 if the amount owing is less than or equal to €150;

€50 plus 10% of the amount owing above €150;

€90 plus 5% of the amount owing above €500, with a total limit of €2,000.

In the absence of full payment by the customer within 14 calendar days (+ three working days if not by electronic means) after sending the first payment reminder, the customer is due by operation of law and without notice of default interest at the statutory interest rate for late payment in commercial transactions, see article 5, paragraph 2 of the law of 2 August 2002 on combating late payment in commercial transactions. This interest is calculated on the amount still to be paid.

If the payment term is exceeded, MoMa Consulting BV reserves the right to unilaterally terminate the agreement without prejudice to the right to further compensation.

Cancellation of orders

The order for services can only be validly cancelled by the customer by registered letter or by e-mail as the execution of this service has not yet started.

If the execution of the service has already started, Moma Consulting BV will charge for the hours worked. Paid advances cannot be refunded in the event of cancellation.

Orders for (online) products cannot be cancelled, as the product was delivered during the withdrawal period of the digital purchase.

The client can cancel or reschedule planned 1:1 coaching sessions free of charge up to 48 hours before the start. In the event of cancellation up to 24 hours before the beginning, the customer must pay half. In the event of cancellation less than 24 hours before the start of the appointment, the coaching session will be charged in full.

Processing of personal data

By placing an order, you give your express permission to Moma Consulting BV to process your data with a view to the execution or delivery of the ordered service or product.

In addition, the data provided can also be used for customer management, e-mails and newsletters, advertising or marketing purposes and statistical information collection. Moma Consulting BV also refers to its privacy statement on the Solvolutions website.

All personal data obtained and processed via the website will be treated confidentially and will not be passed on to third parties.

Jurisdiction and applicable law

Constructive as we are, Solvolutions/moma consulting bv always prefers a conversation or an amicable settlement outside the court. However, in the event of a dispute or dispute, the court of the judicial district of Brussels has jurisdiction, and Belgian law applies.
